Binding Legal Agreement
By creating an account, accessing, or using PNSARA, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use PNSARA. If you are using PNSARA on behalf of a business, you represent that you have the authority to accept these Terms on its behalf.
1. About PNSARA
PNSARA is a software platform that enables individuals and businesses to create, customize, and operate online storefronts.
Through PNSARA, users may be able to create and manage storefronts, publish products and services, manage product information and orders, customize their storefront's appearance, and use other features made available by PNSARA from time to time.
Platform Role: PNSARA provides the technology and infrastructure for these activities. Unless expressly stated otherwise, PNSARA does not itself manufacture, own, supply, or sell the products or services offered by sellers through their storefronts. A seller using PNSARA remains responsible for its own products, services, customers, orders, fulfillment, and compliance with applicable laws.
2. Definitions
- “PNSARA”, “we”, “us”, or “our”
- Means Pnsara Private Limited.
- “Platform”
- Means the PNSARA website, applications, software, infrastructure, and related services.
- “User”, “you”, or “your”
- Means any individual or legal entity accessing or using PNSARA.
- “Seller”
- Means a User who uses PNSARA to create or operate an online storefront and offer products or services to customers.
- “Store”
- Means an online storefront created or operated using PNSARA.
- “Customer”
- Means a person who visits, interacts with, or purchases products or services from a Seller's Store.
- “Seller Content”
- Means information and materials submitted, uploaded, or published by a Seller through PNSARA, including product names, descriptions, images, logos, prices, and other storefront content.
3. Eligibility and Accounts
You must provide accurate and complete information when creating and maintaining your PNSARA account. You may create an account using authentication methods made available by PNSARA, including supported third-party authentication services such as Google.
You are responsible for:
- Maintaining the security of your account credentials;
- Keeping your account information accurate and up to date;
- All activity occurring through your account; and
- Promptly notifying PNSARA if you believe your account has been accessed without authorization.
You must not create an account using another person's identity, impersonate another entity, or create an account for fraudulent purposes. PNSARA may refuse, suspend, or terminate accounts where reasonably necessary.
4. Use of the PNSARA Platform
Subject to these Terms, PNSARA grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for its intended purposes.
Prohibited Activities:
- Use PNSARA for unlawful, fraudulent, or deceptive activities;
- Interfere with or disrupt the Platform or its infrastructure;
- Attempt to gain unauthorized access to accounts, systems, or data;
- Introduce malware, malicious code, or harmful material;
- Reverse engineer, decompile, or attempt to derive source code;
- Copy, resell, or commercially exploit PNSARA except as expressly permitted; or
- Use PNSARA in a way that violates the intellectual property or legal rights of others.
5. Seller Responsibilities
If you use PNSARA as a Seller, you are responsible for your Store and the products or services you offer through it. You are responsible for ensuring that:
- Your products and services are lawful to sell;
- Product descriptions, prices, availability, and information displayed are accurate;
- You hold all necessary licenses, permissions, and rights to sell;
- You fulfill orders placed by Customers in a timely manner;
- You provide appropriate customer support, cancellations, returns, and refunds; and
- Your activities do not infringe third-party rights or applicable laws.
6. Seller Stores and Customer Transactions
A Store operated using PNSARA is operated by the relevant Seller. Unless expressly stated otherwise, PNSARA is not the seller, manufacturer, distributor, or supplier of products or services offered through a Seller's Store.
Transactions between a Seller and a Customer are primarily between those parties. The Seller is responsible for order fulfillment, delivery, customer service, refunds, returns, and other obligations arising from the transaction.
7. Seller Content
You retain ownership of the Seller Content that you submit to PNSARA. By submitting Seller Content, you grant PNSARA a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and transmit that content as reasonably necessary to operate your Store, provide the Platform, and maintain services.
8. PNSARA Intellectual Property
The PNSARA Platform and all associated software, technology, designs, interfaces, trademarks, logos, branding, and documentation provided by PNSARA are owned by or licensed to Pnsara Private Limited. No ownership rights are transferred to you.
9. Fees and Subscriptions
Where fees or subscription tiers apply, pricing, billing frequency, and payment terms will be clearly presented before purchase. Subscriptions renew automatically unless cancelled in accordance with platform procedures. PNSARA may update pricing with reasonable notice before material changes take effect.
10. Third-Party Services
PNSARA may integrate with third-party services (such as Google Authentication, cloud hosting, and payment gateways). Your use of third-party services is subject to their respective terms and policies.
11. Privacy
Your use of PNSARA is also governed by our Privacy Policy, which forms part of these Terms.
12. Availability and Changes to the Platform
We aim to keep PNSARA reliable, but we do not guarantee uninterrupted or error-free service. We may modify, update, suspend, or discontinue features with reasonable notice where practical.
13. Suspension and Termination
You may stop using PNSARA at any time. PNSARA may suspend or terminate access for material breaches, fraud, non-payment, security risks, or legal compliance. Surviving clauses include intellectual property, disclaimers, limitations of liability, and dispute resolution.
14. Disclaimers
PNSARA is provided on an “as is” and “as available” basis to the maximum extent permitted by law. PNSARA does not endorse or guarantee products, services, transactions, or seller fulfillment.
15. Limitation of Liability
To the maximum extent permitted by law, PNSARA will not be liable for indirect, incidental, or consequential damages, loss of profits, or data loss. PNSARA's aggregate liability will be limited to the amount paid by you to PNSARA in the 12 months preceding the claim.
16. Indemnification
Sellers agree to indemnify and hold harmless Pnsara Private Limited from claims, damages, losses, and legal expenses arising from store operations, seller content, products sold, customer disputes, or violations of law.
17. Changes to These Terms
We may update these Terms periodically. Material changes will be communicated via the Platform or website. Continued use after the effective date constitutes acceptance.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Disputes arising out of or relating to these Terms or your use of PNSARA will be subject to the exclusive jurisdiction of the competent courts in Kochi, Kerala, India.
19. General Provisions
These Terms, together with the Privacy Policy, constitute the entire agreement between you and PNSARA. If any provision is found invalid, remaining provisions continue in effect. Neither party creates an agency or partnership relationship.
